1Acceptance of Terms
By accessing or using SherpaOS (the "Platform"), operated by Sherpa Consulting Agency, S.A. ("we," "us," or "Sherpa"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, you must not use the Platform.
2Description of Service
SherpaOS is an internal agency operations platform used by Sherpa Consulting Agency and its clients to manage advertising campaigns, analytics reporting, client communication, and related workflows for digital marketing and software development services.
3User Accounts
Access to SherpaOS is not self-service: accounts are created and managed by the Sherpa Consulting Agency team for its internal staff and for authorized client representatives (via the client portal). Each user is responsible for keeping their credentials confidential and for all activity under their account.
4Acceptable Use
By using the Platform, you agree not to:
- Attempt to access data, accounts, or functionality you are not authorized to use.
- Use the Platform for unlawful purposes or in a way that infringes on the rights of others.
- Interfere with the operation, security, or availability of the Platform.
5Client Portal
Clients of Sherpa Consulting Agency who access the client portal can view reports, metrics, and communications related exclusively to their own accounts and campaigns. Access to other clients' information is restricted by design.
6Third-Party Integrations
SherpaOS integrates with third-party platforms to deliver its services, including (among others) Meta (Facebook/Instagram), Google, TikTok, Pipedrive, and HubSpot. Use of data obtained from these platforms is additionally governed by each platform's own terms of service and data policies, and by our Privacy Policy.
7Intellectual Property
The software, design, branding, and content of SherpaOS are the property of Sherpa Consulting Agency, S.A. or its licensors. These Terms do not grant you any ownership rights in the Platform beyond the right of use described here.
8Privacy and Data
The handling of personal and business data within SherpaOS is described in our Privacy Policy. By using the Platform, you accept such handling as described there.
9Availability and Limitation of Liability
SherpaOS is provided "as is" and "as available." We do not guarantee that the service will be uninterrupted or error-free. To the extent permitted by applicable law, Sherpa Consulting Agency will not be liable for indirect, incidental, or consequential damages arising from the use or inability to use the Platform.
10Termination
We may suspend or deactivate a user's access to the Platform at any time, particularly in the event of a breach of these Terms or upon termination of the corresponding employment or contractual relationship.
11Changes to These Terms
We may update these Terms periodically. Changes take effect upon posting to this page. Continued use of the Platform after an update constitutes acceptance of the new Terms.
12Governing Law and Jurisdiction
These Terms are governed by the laws of the Republic of Guatemala, without regard to conflict-of-law principles.
